Terms of Service

1. Acceptance of Terms

By accessing or using the Elate Books platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

Elate Books is a cloud-based accounting platform that provides bank reconciliation, AI-assisted transaction matching, QuickBooks integration, and financial reporting tools for businesses and accounting professionals.

3. Account Registration

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4. Free Trial

New accounts receive a 7-day free trial with full access to all features. No credit card is required to start a trial. At the end of the trial period, you must subscribe to a paid plan to continue using editing features. You may request a one-time 7-day trial extension. After the trial expires, you can still view your data but cannot create or edit records until you subscribe.

5. Billing and Payment

The Service is offered at $99 per month, billed monthly via Stripe. By subscribing, you authorize us to charge your payment method on a recurring monthly basis. You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or its infrastructure
• Upload malicious code, viruses, or harmful content
• Use the Service to process data you do not have the right to process
• Resell or sublicense access to the Service without our written consent

7. Data Ownership

You retain all ownership rights to your data. We do not claim ownership of any data you input, upload, or create using the Service. You grant us a limited license to use your data solely to provide and improve the Service.

8. Financial Data Disclaimer

Elate Books is a tool to assist with accounting and reconciliation. It is NOT a substitute for professional accounting, tax, or financial advice. You are solely responsible for verifying the accuracy of all financial data, reconciliation results, and reports generated by the Service. We recommend consulting with a qualified accountant or CPA for financial decisions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELATE BOOKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Elate Books and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or modifications that temporarily affect availability. We will provide reasonable advance notice of scheduled downtime when possible.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, you may request export of your data within 30 days.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions.
